1. Agreement and authority to bind the business
These Terms of Service govern access to and use of Navi Booking, including our scheduling, messaging, kiosk, wallet, records, checkout, reporting, automation, and related support services. By creating an account, clicking to accept, or using the service, you represent that you are at least 18 years old and are authorized to bind the salon, spa, studio, or other business that will use the platform.
If you accept these Terms for a business, the acceptance is made on behalf of that business and applies to its owners, managers, staff members, contractors, and any other users who access Navi Booking under that account.
2. What Navi Booking provides
Navi Booking provides hosted software tools to help salons manage appointments, client records, communications, operational workflows, reporting, and selected payment-adjacent or wallet-adjacent experiences. Navi Booking is a software provider. We are not your law firm, payment processor, accountant, employer, insurer, telecommunications carrier, or regulatory advisor.
You remain responsible for how your business configures and uses the service, including what information you collect, what messages you send, which staff members you authorize, and whether your workflows comply with the laws and rules that apply to your business.
3. Account-holder responsibility and user access
The account holder is the person with the authority to manage the subscription, accept legal terms, and control high-risk account actions. The account holder is responsible for keeping the account secure, approving who may access the service, and making sure staff activity under the account is authorized.
You must provide accurate registration and account information, keep contact details current, and promptly remove access for anyone who should no longer use the platform. You are responsible for all activity that occurs through your account credentials, workstation sessions, device sessions, or approved integrations, unless caused by Navi Booking's own breach of these Terms.
4. Business data and client relationship responsibility
Your salon controls the client relationship. You are responsible for the accuracy, legality, and appropriateness of the client, appointment, staff, payment, consent, and operational data that you enter into Navi Booking or cause Navi Booking to process on your behalf.
You represent that you have all rights and permissions needed to upload, store, and use that information with the service, and that doing so will not violate any law, contract, privacy notice, consent record, or third-party right.
5. Messaging, marketing, and consent obligations
Your salon is solely responsible for determining whether a communication is transactional, operational, service-related, loyalty or rewards-related, salon-credit-related, membership or package-related, feedback-related, rebooking-related, referral-related, promotional, marketing, mixed-purpose, or otherwise regulated under applicable law, provider rules, carrier rules, or industry standards. Navi Booking may provide tools that support one or more of those categories, including but not limited to appointment confirmations, reminders, waitlist notices, receipts, wallet or pass links, salon credit notices, loyalty or rewards status messages, membership updates, review or feedback requests, rebooking prompts, referral prompts, birthday or anniversary messages, discounts, offers, and other customer-engagement communications where enabled.
Your salon is solely responsible for obtaining, maintaining, and documenting any consent, notice, disclosure, opt-in, opt-out, or other permission required before importing contacts or sending any communication through Navi Booking. This includes communications delivered by text messaging, email, wallet or pass links, kiosk-triggered prompts, automated workflows, or any other channel made available through the service.
You must keep recipient data current, honor STOP, unsubscribe, and other valid opt-out or suppression requests promptly, and avoid using Navi Booking to send unlawful, misleading, harassing, deceptive, or unauthorized communications. Carrier rules, telecom requirements, anti-spam laws, privacy laws, consumer-protection laws, and provider policies may apply. Navi Booking does not represent or warrant that a template, sample disclosure, automation, feature flag, or product configuration is sufficient for your salon's specific compliance obligations.
6. Communications controls, provider limits, and no-delivery guarantee
Navi Booking may block, throttle, suspend, filter, reject, delay, or disable communications or related features if we believe activity may violate law, provider requirements, carrier rules, anti-abuse controls, platform policies, billing limits, sender-registration requirements, consent requirements, or security expectations, or if activity could expose Navi Booking, its providers, other customers, or recipients to risk.
Navi Booking does not guarantee message or pass delivery, timing, routing, throughput, provider acceptance, carrier acceptance, inbox placement, device compatibility, or availability of any communications feature. Third-party networks, carriers, wallet platforms, spam filters, device settings, sender-registration status, billing state, recipient behavior, and jurisdiction-specific restrictions may affect whether a communication is sent, accepted, delivered, displayed, or acted upon.
To the fullest extent permitted by law, Navi Booking is not responsible for penalties, claims, fines, blocked or filtered messages, delivery failures, client disputes, chargebacks, regulatory inquiries, or other losses arising from your salon's message content, classification decisions, imported contacts, consent failures, opt-out handling, sender-registration issues, or other misuse of communications features.
7. AI and automation features
Navi Booking may provide AI-assisted recommendations, draft text, suggested availability, workflow automations, and other machine-assisted outputs. These features may be useful, but they can be incomplete, incorrect, or inappropriate for your business context.
You are responsible for reviewing important outputs before relying on them, especially where client communications, consent, pricing, scheduling, payroll, operational approvals, or compliance-sensitive decisions are involved.
8. Acceptable use restrictions
You may not use Navi Booking to break the law, violate privacy or intellectual-property rights, interfere with the platform, reverse engineer protected parts of the service, probe for vulnerabilities, bypass authorization controls, scrape the service in a way that harms operations, or use the platform for abusive, fraudulent, deceptive, or harmful activity.
You may not use Navi Booking to store or transmit data that you do not have the right to process, or to send communications that violate applicable opt-in, disclosure, or consumer-protection requirements.
9. Third-party services
Navi Booking may interoperate with third-party providers such as authentication vendors, cloud infrastructure vendors, payment services, SMS providers, email services, analytics tools, wallet platforms, or other integrations. Your use of those services may also be subject to the third party's own terms, policies, availability, and technical limits.
Navi Booking is not responsible for outages, policy changes, pricing changes, or other conduct by third-party providers, except to the extent caused by our own breach of these Terms.
10. Fees, subscriptions, and taxes
Paid features may require a subscription, usage-based charges, prepaid credits, or other fees. You agree to pay applicable charges, taxes, and related amounts when due. Unless otherwise stated, fees are non-refundable except where required by law or expressly stated in writing by Navi Booking.
You authorize Navi Booking and its billing providers to charge the payment method associated with your account for recurring subscriptions, usage purchases, credit packs, auto-reload charges, or other amounts you approve through the service.
11. Suspension and termination
We may suspend, restrict, or terminate access to Navi Booking if we reasonably believe that your use poses security, legal, financial, carrier, or operational risk; violates these Terms; creates abuse or fraud concerns; or threatens the platform, other customers, or end users.
You may stop using the service at any time. Termination does not excuse payment obligations accrued before termination and does not automatically delete data where retention is required for legal, security, fraud-prevention, or legitimate operational reasons.
12. Confidentiality and security
We use reasonable administrative, technical, and organizational measures intended to protect the security of the service. No system is perfectly secure, and you acknowledge that the transmission and storage of data over the internet carries inherent risk.
You must promptly notify Navi Booking if you suspect unauthorized access, credential compromise, fraudulent account activity, or misuse involving your business account.
13. Disclaimer of warranties
Navi Booking is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Navi Booking disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, and error-free operation.
We do not warrant that the service will be uninterrupted, secure, error-free, compliant for your particular business model, or sufficient to satisfy any legal, regulatory, or professional obligation that applies to your salon.
14. Limitation of liability
To the fullest extent permitted by law, Navi Booking and its affiliates, officers, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, clients, or business opportunities arising out of or related to the service.
To the fullest extent permitted by law, Navi Booking's aggregate liability for claims arising out of or relating to the service will not exceed the greater of the amounts paid by your business to Navi Booking for the service during the 12 months before the event giving rise to the claim, or one hundred U.S. dollars (USD $100).
15. Indemnification
You will defend, indemnify, and hold harmless Navi Booking and its affiliates, officers, employees, contractors, and suppliers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your business data; (b) your messages, campaigns, automations, wallet or pass links, loyalty or rewards communications, salon credit communications, marketing practices, or consent practices; (c) your imported contacts, suppression failures, or opt-out handling; (d) your violation of these Terms, provider rules, carrier rules, or applicable law; or (e) your use of the service in a way that harms a client, regulator, carrier, third party, or another user.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the service will be brought exclusively in the state or federal courts located in Delaware, and the parties consent to that forum and venue.
17. Updates to these Terms
We may update these Terms from time to time. Material changes may require renewed acceptance before continued use of protected owner functionality. Navi Booking's internal acceptance record, tied to the account holder and the salon account, controls which version of these Terms was accepted for audit purposes.
